Terms of Service

Effective date: October 8, 2026

These Terms of Service ("Terms") govern your use of the website of K Stone Consulting Inc, a Pennsylvania business corporation ("K Stone Consulting", "we", "us" or "our"), and any enquiry or quote request you send us. By using this website or requesting a quote, you agree to these Terms. If you do not agree, please do not use the website.

Our services

We provide business consulting services, including advice on strategy, operations, growth and financial planning. The descriptions of services on this website are general information and are not an offer capable of acceptance.
Quotes and engagements

A quote request is an invitation for us to prepare a proposal. It does not create a contract or oblige either of us to proceed.

A quote we issue is valid for 30 days from its date unless it says otherwise. An engagement begins only when you and we have both accepted a written quote, proposal or engagement agreement (an "Engagement Agreement"). The Engagement Agreement sets out the scope, deliverables, timeline, fees and payment terms. If an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls for that engagement.
Fees and payment

Fees, expenses and payment dates are stated in the Engagement Agreement. Unless it says otherwise, invoices are payable within 30 days of the invoice date, in U.S. dollars, and fees are exclusive of any applicable taxes. We may suspend work while an undisputed invoice is overdue.
Your responsibilities

You agree to give us accurate and complete information, to make decisions and provide access in good time, and to use this website only for lawful purposes. You are responsible for decisions you make and actions you take on the basis of our work.
Not legal, tax, accounting or investment advice

Our services and the content of this website are business consulting and general information only. We are not a law firm, a certified public accounting firm, a registered investment adviser or a broker-dealer. Nothing we provide is legal, tax, accounting, audit or investment advice, and you should consult a licensed professional on those matters.
Confidentiality

Each of us will keep the other's non-public business information confidential, use it only for the purpose of the enquiry or engagement, and protect it with reasonable care. This does not apply to information that is public, already known to the recipient, independently developed, or required to be disclosed by law.
Intellectual property

The content of this website, including the K Stone Consulting name and logo, text and design, belongs to us or our licensors and may not be copied or reused without our written permission.

Unless the Engagement Agreement says otherwise, once you have paid in full you own the final deliverables prepared specifically for you. We keep ownership of our pre-existing materials, methods, templates and know-how, and grant you a non-exclusive licence to use them as part of the deliverables for your internal business purposes.
Your information

We use the contact details and information you send us to respond to your enquiry, prepare your quote and carry out any engagement. We do not sell your personal information. We may share it with service providers who help us run our business, or where the law requires it.
No guarantee of results

We will perform our services with reasonable skill and care. Business outcomes depend on many factors outside our control, so we do not guarantee any particular result, revenue, saving or outcome.
Disclaimer of warranties

THIS WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT AS EXPRESSLY STATED IN AN ENGAGEMENT AGREEMENT, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THIS WEBSITE OR OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE FEES YOU PAID US UNDER THE ENGAGEMENT AGREEMENT GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR USD 100 IF YOU HAVE PAID US NO FEES.

Nothing in these Terms limits liability that cannot be limited under applicable law.
Indemnification

You agree to indemnify and hold harmless K Stone Consulting and its officers, employees and agents from third-party claims, losses and reasonable costs (including attorneys' fees) arising from your breach of these Terms, your unlawful use of this website, or inaccurate information you supply to us.
Ending an engagement

Either of us may end an engagement as set out in the Engagement Agreement. If it is silent, either of us may end it on 14 days' written notice, and you will pay for work performed and expenses incurred up to the end date.
Governing law and venue

These Terms, and any dispute arising from them or from this website, are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Any legal action must be brought exclusively in the state courts located in Luzerne County, Pennsylvania, or the United States District Court for the Middle District of Pennsylvania, and you and we consent to the jurisdiction of those courts.
General
- We may update these Terms from time to time. The updated version applies from the effective date shown above, and your continued use of the website means you accept it.
- If any part of these Terms is found unenforceable, the rest remains in effect.
- Our not enforcing a right is not a waiver of that right.
- These Terms, together with any Engagement Agreement, are the entire agreement between you and us on their subject matter.
- You may not assign these Terms without our written consent.
